When we get new versions of the php templates does it overwrite changes that a developer makes to the code?

It does depend on the changes they made, but generally yes if they change the functionality of the cart.

If any files in the vsadmin or vsadmin/inc folders are modified they will be overwritten.

I mean something like changing the menu and removing unneeded pages.

Those should be fine. The design will not change, but a few tweaks made need to be made.
